Terms of Service & Manufacturing Policies

These Terms of Service and Manufacturing Policies apply to all work performed by M3 MFG, LLC (“M3”) for its customers. They describe how we operate as a manufacturing partner, how responsibilities are shared, and the standards that govern machining, prototyping, design support, material procurement, and part modification.
1. Scope of Work
M3 provides CNC machining, prototyping, additive manufacturing (3D printing), part modification and rework, CAD modeling, CNC programming, design for manufacturability feedback, concept development support, and related manufacturing services based on drawings, models, specifications, materials, or ideas supplied by the Customer.
These services are provided strictly as manufacturing and production support services.
M3 is not the engineer of record, product certifier, or end-use authority for any part unless expressly agreed to in a separate written and signed engineering services agreement.
All work performed by M3 mfg, LLC is governed by the terms of this Agreement.
2. Customer Responsibility for Design and Specifications
Customer is solely responsible for:
- The accuracy, completeness, and suitability of all drawings, CAD files, models, specifications, tolerances, and instructions
- The design, fit, form, and function of the part
- Engineering validation and testing
- Regulatory, safety, and compliance requirements related to the part and its use
M3 relies entirely on information supplied by the Customer and is not responsible for design errors, omissions, or defects.
3. Advisory Nature of DFM and Design Feedback
Any suggestions or feedback provided by M3 regarding design improvements, manufacturability, materials, or tolerances are advisory only.
Final design decisions remain the sole responsibility of the Customer. Implementation of any suggestion is at Customer’s risk.
4. Customer Supplied Materials
When Customer provides material, M3 makes no warranty as to its integrity or suitability and is not responsible for material defects, machining issues arising from material condition, or part failure due to material properties.
5. Material Procurement, Certifications, and Latent Defects
When M3 purchases material on behalf of the Customer, M3 acts solely as a procurement agent and relies on supplier certifications.
M3 makes no warranty as to the internal integrity or performance of material beyond those certifications.
Customer acknowledges that latent defects may not be discoverable until machining is underway or complete. If machining is affected by such defects, Customer agrees M3 will be compensated for time, labor, and material.
Material purchased for a job is non-cancelable and non-returnable once ordered.
6. Customer Supplied Parts for Modification or Rework
Modification of existing parts carries inherent risk due to unknown material history and condition.
M3 Mfg assumes no responsibility for defects, dimensional inaccuracies, material condition, heat treatment, prior processing, hidden damage, or suitability of customer-supplied materials or components.
Customer agrees M3 is not responsible for damage to or failure of customer supplied parts during modification, nor for replacement cost if the part becomes unusable.
Any machining, modification, repair or processing performed on customer-supplied items is at Customer’s risk.
7. Design, CAD, Programming, and Professional Services
M3 may provide CAD modeling, design assistance, reverse engineering, print creation, CNC programming, and prototyping strictly as manufacturing support services.
M3 is not the engineer of record and does not provide licensed engineering, product certification, or design validation.
All drawings, models, and programs created or modified by M3 must be reviewed, validated, and approved by the Customer prior to production or use.
Final responsibility for design integrity and application remains solely with the Customer.
8. Concept Development, Prototyping, and Transition to Production
Prototypes, 3D printed parts, and concept models are for evaluation and design exploration only and are not validated for performance, safety, or compliance.
Prior to production machining, Customer is responsible for testing, validating, and approving the final design and specifications.
Production work is performed only to Customer-approved drawings or files.
9. End Use and Application
M3 has no knowledge of or control over the final use or application of parts. Customer is solely responsible for determining suitability for intended use.
10. Workmanship and Dimensional Conformance Warranty
M3 warrants only that parts will be manufactured in dimensional conformance with Customer-approved drawings, models, files, or specifications.
M3’s responsibility is limited solely to meeting the dimensional requirements of the approved design.
M3 makes no warranty regarding fitness for a particular purpose, performance, safety, durability, or compliance.
11. Indemnification and Hold Harmless
Customer agrees to indemnify, defend, and hold harmless M3, its owners, employees, and agents from any claims, damages, losses, or expenses arising from:
- Design defects
- Improper application or use
- Material defects
- Modification of existing parts
- Implementation of DFM suggestions
- Regulatory or compliance issues
- Any claim arising after delivery of parts manufactured to Customer specifications
12. Limitation of Liability
M3’s liability shall not exceed the amount paid for the specific job.
M3 is not liable for consequential, incidental, indirect, or punitive damages.
13. Payment Terms, Cancellations and Change Orders
Most jobs require an upfront deposit to cover material, tooling, fixtures, and other job-specific costs before work begins. The deposit amount will be identified at the time of quoting. Final payment is due upon completion of the job and prior to release or shipment of finished parts, unless otherwise agreed to in writing.
If a job is cancelled after work has begun or materials have been ordered, the Customer is responsible for all costs incurred to date, including materials, labor, outside processing, and non-returnable items. Deposits are non-refundable once job execution has started.
Any changes to the original scope of work, including design revisions, quantity changes, material substitutions, or process adjustments, must be approved in writing and may require a revised quote, additional deposit, and/or schedule adjustment. Work will not proceed on change orders until written authorization is received.
LATE FEES: Payment not made within 15 days of the invoice date may be subject to a 15% late fee.
Credit Card processing fee: Customer acknowledges and agrees that Invoice payments made by credit card are subject to a 3.0% credit card processing fee, which will be added to the invoice total at the time of payment.
This fee does not apply to payments made by Zelle, business check, or cash.
14. Acceptance
Approval of a quote, issuance of a purchase order, placement of an order, acceptance of finalized design file(s), acceptance of delivered parts constitutes acceptance of this Agreement.
